Terms of Service

1. Agreement to terms

By accessing or using the nexbi platform at nexbi.io ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service. We may update these Terms at any time; continued use constitutes acceptance of the updated Terms.

2. Description of Service

nexbi is an AI-driven venture studio platform that uses artificial intelligence agents to assist founders and business operators with market discovery, validation, strategy, asset generation, deployment, and ongoing operations ("Engagements"). Outputs produced by the Service are AI-generated and are provided as-is. You are responsible for reviewing, validating, and applying all outputs in accordance with applicable laws.

3. Eligibility

You must be at least 18 years of age and legally capable of forming a binding contract in your jurisdiction. By using the Service, you represent that you meet these requirements.

4. Account and access

  • You are responsible for maintaining the confidentiality of your account credentials.
  • You are responsible for all activity that occurs under your account.
  • You must notify us immediately of any unauthorized use at contact@nexbi.io.
  • We reserve the right to suspend or terminate accounts that violate these Terms.

5. AI-generated content disclaimer

The Service uses large language models and other AI systems to produce content including, but not limited to: market analyses, business plans, brand names, marketing copy, ad creative, landing pages, standard operating procedures, and workflow automations.

  • No guarantee of accuracy. AI-generated content may contain factual errors, inaccuracies, or omissions. You must independently verify any factual claims before acting on them.
  • No professional advice. Content produced by the Service does not constitute legal, financial, tax, medical, or other professional advice. Consult qualified professionals before making decisions in regulated domains.
  • Intellectual property risk. AI-generated content may inadvertently resemble existing works. You are responsible for conducting independent IP clearance (trademark, copyright) on all brand names, logos, and copy before commercial use.
  • Advertising compliance. AI-generated advertising copy may not comply with applicable advertising standards (ASA, FTC, etc.) in your jurisdiction. You are responsible for compliance before publishing any ad content.

6. Ownership of outputs

Subject to your compliance with these Terms and payment of applicable fees, you own all artifacts produced by your Engagements — including but not limited to brand kits, landing page files, copy, ad variants, and workflow automations. nexbi retains no ownership interest in your Engagement outputs.

nexbi retains the right to use anonymised, aggregated, non-identifiable patterns from Engagements to improve the platform and train internal models. We will not use your specific business details, brand names, or identifying information for this purpose.

7. Acceptable use

You agree not to use the Service to:

  • Generate content that is defamatory, obscene, discriminatory, or illegal.
  • Create deceptive, misleading, or fraudulent business representations.
  • Infringe upon the intellectual property rights of any third party.
  • Circumvent any security measures or access controls.
  • Introduce malware, viruses, or other harmful code.
  • Harvest or scrape data from the platform in an automated manner without written consent.
  • Resell or sublicense the Service without our written permission.

8. Payment and subscriptions

  • Paid subscriptions are billed monthly or annually in advance.
  • You may cancel at any time; cancellation takes effect at the end of the current billing period.
  • We offer a full refund within 7 days of your first paid charge if you are unsatisfied.
  • We reserve the right to change pricing with 30 days' notice to existing subscribers.
  • All fees are exclusive of applicable taxes, which are your responsibility.

9. Third-party services and APIs

The Service integrates with third-party APIs including but not limited to Anthropic, OpenAI, Vercel, Stripe, Resend, and SerpAPI. Your use of outputs that are published or deployed via these services (e.g., landing pages published to Vercel, ad campaigns built for Meta or Google) is subject to the respective third-party's terms of service. You are solely responsible for ensuring your use of those services complies with their terms. nexbi is not liable for your violations of any third-party terms.

10. Limitation of liability

To the maximum extent permitted by applicable law, nexbi and its operators shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including but not limited to loss of profits, data, business, or goodwill — arising from your use of or inability to use the Service. nexbi's total aggregate liability for direct damages shall not exceed the greater of (a) the amount you paid to nexbi in the 12 months preceding the claim, or (b) $100.

11. Disclaimer of warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the Service will be uninterrupted, error-free, or that AI-generated outputs will be accurate, complete, or fit for any particular purpose.

12. Governing law

These Terms are governed by the laws of the jurisdiction in which nexbi is registered, without regard to conflict-of-law principles. Any disputes shall be resolved through good-faith negotiation first; if unresolved, through binding arbitration under the rules of a mutually agreed arbitration body.
